About the Role:
We are immediately hiring a Counsel, Commercial to join our legal team in New York on a hybrid schedule.
You will be an integral part of our legal team, focusing on commercial contract negotiations, contract structuring, and simplifying complex legal matters for various stakeholders. Your expertise will help guide our business teams through legal challenges and opportunities in a dynamic Ad Tech environment.
This role offers a rare combination of opportunities: use AI and legal operations best practices to scale and improve an established, high-volume commercial contracting practice on our sell-side business, including streamlining workflows and improving templates and playbooks, while helping build new legal processes from the ground up as PubMatic expands into demand-side and full-stack ad tech offerings. You'll work on emerging legal issues in a company at the forefront of applying AI, including agentic AI, across the advertising supply chain. We're looking for someone curious, energetic, and adaptable who wants to grow with the business.
What You'll Do:
Contract Negotiations & Structuring: Negotiate and draft commercial agreements with publishers, buyers, and partners, ensuring alignment with business objectives and legal requirements.
Legal Advisory: Provide practical guidance on commercial matters, including emerging issues as PubMatic expands beyond the sell side into demand-side and AI-driven products.
Complex Legal Topics: Translate complex legal concepts into plain language for stakeholders, ensuring clarity and understanding across the organization.
Compliance & Risk Management: Identify where privacy and advertising regulation shape the commercial terms we can offer, and mitigate legal risk across our agreements
Product Partnership: Work closely with the Product team to stay ahead of product changes that affect our agreements, reflect product nuances in negotiations, and channel product requests and feedback surfaced during negotiations back to the Product team.
Cross-functional Collaboration: Work closely with sales, marketing, product, and engineering teams to support business initiatives and provide legal insights.
Who You Are:
J.D. from an accredited law school and admission in good standing to at least one U.S. state bar (New York admission or eligibility for New York in-house counsel registration preferred).
2-7 years of relevant experience at a law firm, in-house, or a combination of both
Solid commercial contracting experience, including data protection and privacy contracting (e.g., DPAs, data licensing and usage terms), and the ability to issue spot for business risks
Comfort using generative AI tools in day-to-day legal work, and genuine interest in legal ops: building efficient, AI-enabled contracting, negotiation, and workflow processes
Curiosity, energy, and adaptability; you enjoy learning new technologies and business models and thrive when the ground is shifting
Ability to negotiate positively and proactively (internally and externally) and close transactions efficiently
Good business, risk, and legal judgment and the ability to work flexibly with a variety of teams
Excellent communication (verbal and written) and drafting skills
Strong work ethic with high level of productivity while still maintaining a high level of attention to detail
Strong personal integrity
And a sense of humor

Compensation Disclosure
In accordance with applicable law, the below salary range provided is PubMatic’s reasonable estimate of the total compensation for this role. New hires and current team members are typically compensated toward the middle of our pay range. The actual amount may vary, based on non-discriminatory factors such as location, experience, knowledge, skills and abilities. In addition to salary PubMatic also offers a bonus, restricted stock units, and a competitive benefits package.
