About the role

We are seeking an experienced attorney to join our legal team as Senior Counsel, Commercial. This role will work closely with business development, partnerships, marketing, operations, and other commercial teams to structure, negotiate, and execute the agreements that support Ondo’s growth.

The Senior Counsel, Commercial will serve as a practical and commercially minded legal partner across a broad range of strategic relationships and transactions. This individual will lead negotiations, advise stakeholders on contractual and regulatory risk, and develop scalable processes that enable the business to move quickly while protecting Ondo’s interests.

The ideal candidate has significant experience negotiating sophisticated commercial agreements within financial services, fintech, blockchain, or another high-growth technology business. They should be comfortable managing complex negotiations independently, balancing legal risk with commercial objectives, and partnering closely with senior business stakeholders in a fast-moving environment.

Responsibilities

Serve as a primary legal partner to business development, partnerships, marketing, operations, and other commercial teams

Draft, review, and negotiate a wide range of agreements, including strategic partnerships, distribution, technology, licensing, vendor, service, referral, marketing, data, and confidentiality agreements

Lead complex commercial negotiations from initial structuring through execution and renewal

Advise stakeholders on contractual, regulatory, reputational, and counterparty risks associated with commercial initiatives

Support relationships with financial institutions, fintech companies, blockchain protocols, exchanges, wallets, custodians, market makers, technology providers, and other ecosystem partners

Develop pragmatic solutions that balance legal protection with commercial objectives and speed of execution

Advise marketing and business teams on promotional campaigns, partner communications, public claims, and related commercial arrangements

Partner with compliance and regulatory counsel to address issues involving securities, financial promotions, anti-money laundering, data protection, licensing, and geographic restrictions

Develop and maintain contract templates, negotiation playbooks, approval processes, and scalable commercial legal workflows

Provide training and guidance to business teams on contracting, negotiation, and risk management

Manage outside counsel and specialist advisers where appropriate

Support the AGC Commercial and other senior legal personnel on strategic transactions and business priorities

Requirements

JD degree from an accredited U.S. law school

5–8+ years of legal experience at a major law firm and/or a high-growth blockchain, fintech, financial services, or technology company

Significant experience drafting and negotiating complex commercial agreements

Strong understanding of commercial contracting principles, including liability, indemnification, intellectual property, data use, confidentiality, service levels, termination rights, and regulatory allocation

Experience advising business development, partnerships, marketing, sales, operations, or other commercial teams

Strong commercial judgment and the ability to provide clear, practical advice in situations involving competing business and legal considerations

Ability to lead negotiations independently and engage credibly with senior internal stakeholders and sophisticated counterparties

Understanding of the blockchain industry and the commercial relationships that support digital-asset or financial-services businesses

Familiarity with securities, anti-money laundering, financial promotions, data protection, and other relevant financial-services regulations

Excellent drafting, negotiation, analytical, and communication skills

Highly organized, detail-oriented, and able to manage multiple transactions and deadlines simultaneously

Comfortable operating independently in a fast-moving and ambiguous environment

Experience with tokenized assets, institutional financial products, or international commercial arrangements is a plus
