The team is pragmatic, solutions-oriented, and deeply engaged in strategic decision-making, with a strong emphasis on building trusted relationships across the organization.
As a Senior Paralegal, Corporate, you will join the Corporate Legal team and own the day-to-day management of a portfolio of CoreWeave’s existing foreign subsidiaries, including ongoing maintenance, governance changes, and dissolutions, as well as a subset of foreign entity formations as the company expands into new countries. About the Role:
Reporting to the VP, Deputy General Counsel, Corporate, you will work closely with local counsel, corporate service providers, and internal partners in Tax, Finance, Accounting, People, and Global Expansion to form and keep entities in good standing and their records current. You will also run the governance and signature processes that support those entities, and help build the processes and systems that let the entity portfolio scale. This role is ideal for someone who thrives in a dynamic, high-growth tech environment and enjoys managing complex, cross-functional projects.
In this role, you will:
Manage the full lifecycle of a portfolio of existing foreign subsidiaries, including registration, maintenance, and dissolution or liquidation, in coordination with local counsel and corporate service providers.
Lead a subset of new-country launches and other expansion projects, including foreign entity formations, branch and representative office registrations, local licenses and registrations, bank account opening, and know-your-customer (KYC) requests.
Prepare and track director and officer appointments, resignations, and related filings for foreign subsidiaries, including local resident director and authorized signatory requirements.
Maintain statutory registers, minute books, registered offices and agents, beneficial ownership filings, and annual filing, accounts, and renewal calendars for each jurisdiction.
Draft and manage subsidiary-level governance documents, including board and shareholder resolutions, written consents, powers of attorney, and share transfer and capital documentation.
Coordinate signature requests for subsidiary directors and officers, including wet-ink signatures, notarizations, apostilles, and legalizations.
Support the entity-related aspects of M&A integration and restructurings, including entity rationalization, mergers, and liquidations, for jurisdictions within your portfolio.
Maintain the Computershare Global Entity Management System (GEMS) database for entities in your portfolio, keeping records accurate and consistent with Tax, Finance, and Accounting.
Manage multiple concurrent entity projects and statutory deadlines across time zones, escalating issues as needed.
Develop and improve templates, checklists, processes, and policies for entity management, and help identify, onboard, and deploy technology platforms to support them.
Assist with U.S. corporate governance matters, such as board and committee materials, minutes, and corporate records, as needed.
Support securities, employment, and other Corporate Legal matters and projects as needed.
Who You Are:
7+ years of corporate paralegal experience, including managing the formation, maintenance, and dissolution of non-U.S. entities, gained at a law firm, a multinational company, or a combination of both.
Experience managing a portfolio of subsidiaries across multiple jurisdictions, with working knowledge of statutory records, annual filings, and registered office and agent requirements.
Experience coordinating with local counsel and corporate service providers on filings, registrations, and liquidations.
Experience with director and officer appointments and resignations, and with beneficial ownership registers and filings, in non-U.S. jurisdictions.
Experience drafting resolutions, written consents, powers of attorney, and other subsidiary governance documents.
Experience arranging notarizations, apostilles, and legalizations for cross-border signatures.
Licensed Notary Public.
Technology proficiency, including with Google Workspace, Microsoft Office Suite, Adobe, and DocuSign.
Preferred:
Prior experience at a top law firm.
In-house experience at a publicly traded company or high-growth technology company.
Experience supporting international expansion, such as new-country launches, branch registrations, or M&A-related entity integration and rationalization.
