About the team

The Commercial Legal team partners closely with Growth, Product, Finance, and other cross-functional stakeholders to help Paxos execute strategic partnerships and business priorities. From early-stage deal structuring through negotiation and execution, the team provides clear, pragmatic legal guidance that balances risk with business goals. The team’s work spans a wide range of commercial relationships, including institutional clients, financial institutions, and technology partners, and plays a direct role in helping Paxos launch products and expand into new markets.

About the role

As Senior Commercial Counsel, you will partner with business teams to close deals efficiently while protecting Paxos' interests. You will translate legal, commercial, technology, and regulatory considerations into clear, actionable recommendations; create leverage through templates, playbooks, and process improvements that help the business scale; and help stakeholders anticipate issues before they become blockers.

You will also manage a range of in-house commercial, corporate, and other legal matters, which may include drafting and maintaining terms and conditions and negotiating banking and financing documents. This role is expected to evolve as the business grows, so versatility, adaptability, and a willingness to take on new areas of work are critical.

What you’ll do

- Provide expert legal advice to senior finance and business development professionals on deal structure, risk allocation, approval paths, and practical options, translating legal complexity into clear recommendations that support business decisions.

- Draft, negotiate, and close complex commercial, SaaS, technology, vendor, licensing, data, and strategic-partnership agreements, managing deals from term sheet through signature.

- Keep cross-functional stakeholders aligned on priorities, decisions, tradeoffs, and next steps, communicating clearly and proactively throughout each matter.

- Build and improve scalable contract processes, clause libraries, playbooks, and self-service resources that help the business move faster while maintaining consistent legal standards.

- Spot patterns across matters, identify root causes, and design sustainable solutions rather than one-off fixes, turning recurring issues into lasting process improvements.

- Use AI and other technology thoughtfully for legal review, drafting, research, and workflow management, applying appropriate human judgment and safeguards to protect quality, confidentiality, and accuracy.

- Contribute across broader in-house matters as business needs evolve, taking on new areas of work with flexibility and a willingness to learn.

About you

- 6-10 years of commercial legal experience in technology transactions, SaaS agreements, corporate law, mergers & acquisitions, funds, and/or finance at a top tier law firm or high growth technology company (preferably a combination of both)

- Experience leading complex commercial negotiations from initial term sheet through final execution, with sound judgment on when to hold firm and when to compromise

- Commercial mindset with a deep understanding of practical business issues, and the ability to weigh legal risk against business objectives

- Experience working cross-functionally on multiple projects under tight deadlines while building strong, trusted client relationships

- Desire to work in a fast-paced, dynamic, and demanding environment, with comfort handling ambiguity and shifting priorities

- Excellent written and verbal communication and negotiation skills, including the ability to explain complex legal issues clearly to non-lawyers

- Efficient and judicious use of appropriate AI tools to improve speed and quality, with sound judgment about when human review is essential

You might also have

- Experience working on a wide variety of in-house legal matters, including employment issues, stock option plans, and intellectual property, and comfort handling unfamiliar areas of law as business needs arise

- Experience working in a hyper-growth, tech-focused company, with an understanding of how legal teams can scale processes and support the business through rapid change

- Strong interest in blockchain technology and its evolving regulatory landscape, with curiosity about how digital assets and tokenization are reshaping financial services
